TERMS AND CONDITIONS

1. ACCEPTANCE OF TERMS
These Referral Program Terms and Conditions (these "Terms") set forth the terms and conditions for your participation in the Skyline Payments Customer Referral Program (the "Referral Program" or "Program"). By participating in the Referral Program in any way, you agree to be bound by these Terms. If you do not agree to all of the terms and conditions of these Terms, you may not participate in the Referral Program.
Skyline Payments ("Skyline Payments," "we," "us," or "our") may revise these Terms from time to time in our sole discretion, subject to applicable law. When we revise these Terms, we will post the revised version on our website. Your continued participation in the Referral Program after any such changes constitutes your acceptance of the revised Terms. If you do not agree to these Terms or any revised version of these Terms, your sole recourse is to terminate your participation in the Referral Program.

2. PROGRAM OVERVIEW
The Referral Program has been created to reward existing Skyline Payments customers ("Referring Customer," "Referrer," "you") for recommending our payment processing services to friends, family, and business associates who become new customers ("Referred Customer" or "Referral"). This Program also rewards Referred Customers for signing up through a valid referral.

3. ELIGIBILITY
3.1 Referring Customer Eligibility
To participate as a Referring Customer, you must:
  • Be a current, active customer of Skyline Payments in good standing
  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have an active account that is not suspended, terminated, or in breach of any Skyline Payments agreements
  • Comply with all applicable laws and regulations
  • Not be an employee, contractor, or immediate family member of an employee of Skyline Payments
3.2 Referred Customer Eligibility
To qualify as a valid Referral, the Referred Customer must:
  • Sign up for Skyline Payments services using the Referring Customer's unique referral link
  • Be at least 18 years of age or the age of majority in their jurisdiction
  • Not be an existing customer of Skyline Payments on the account they are signing up for
  • Not have previously applied for or been declined for Skyline Payments services within the past 12 months
  • Complete the full account activation process and meet all Skyline Payments underwriting requirements
  • Process a minimum transaction volume as specified in the Program details
4. HOW THE PROGRAM WORKS
4.1 Obtaining Your Unique Referral Link
Each eligible Referring Customer will receive a unique referral link through their Skyline Payments account dashboard or by contacting customer support. This unique link contains tracking identifiers that attribute referrals to your account.

4.2 Making a Referral
To refer someone, you must share your unique referral link with the prospective customer through email, social media, or other communication methods. The Referred Customer must use this unique link to initiate their account application for the referral to be tracked and validated.

4.3 Tracking and Validation
Referrals are only tracked and considered valid when:
  • The Referred Customer clicks on and uses your unique referral link
  • The referral is recorded in our system at the time of application
  • The Referred Customer completes the sign-up process and meets all qualification requirements
  • Our system validates that the Referred Customer is not an existing customer
4.4 Referral Rewards
Referral rewards will be determined and communicated through Program materials and may include:
  • Account credits
  • Cash payments
  • Reduced processing fees
  • Other incentives as determined by Skyline Payments
Specific reward amounts and qualification criteria will be provided in Program communications and may vary based on promotional periods.

5. QUALIFIED REFERRALS
A Qualified Referral occurs when ALL of the following conditions are met:
  • The Referred Customer uses the Referring Customer's unique referral link to initiate their application
  • The referral is successfully tracked in our system at the time of application
  • The Referred Customer is not an existing Skyline Payments customer on the account being created
  • The Referred Customer completes the full account application process
  • The Referred Customer's account is approved and activated by Skyline Payments
  • The Referred Customer processes the minimum required transaction volume within the specified timeframe
  • The Referred Customer's account remains active and in good standing for the required qualification period
  • Both the Referring Customer and Referred Customer remain in compliance with all Skyline Payments terms and policies
  • The referral is not otherwise disqualified under these Terms
6. INVALID REFERRALS
The following referrals will NOT be considered valid and are NOT eligible for referral rewards:
6.1 Self-Referrals
  • Referring yourself or creating multiple accounts
  • Referring business entities you own, control, or have significant financial interest in
  • Using the same email address, business information, or contact details with different variations
6.2 Existing Relationships
  • Referring someone who is already a Skyline Payments customer on the account they are signing up for
  • Referring someone who has previously been a Skyline Payments customer within the past 12 months
  • Referring someone who is currently in negotiations or discussions with Skyline Payments
  • Referring multiple locations or divisions of the same business entity
6.3 Reciprocal Referrals
  • Referring people who have previously referred you
  • Mutual referral arrangements designed to circumvent Program rules
6.4 Fraudulent Activity
  • Using bots, automated systems, or scripts to generate referrals
  • Creating fake accounts or providing false information
  • Using spam, unsolicited email, or other prohibited marketing methods
  • Engaging in any deceptive, misleading, or manipulative practices
  • Offering unauthorized financial incentives to encourage sign-ups
  • Any attempt to game, exploit, or abuse the Program
6.5 Technical Issues
  • Referrals not tracked through the unique referral link
  • Referrals where the tracking system did not capture the attribution at the time of application
  • Referrals claimed after the fact without proper electronic tracking
7. REFERRAL REWARD PAYMENT TERMS
7.1 Payment Timing
Referral rewards will be paid after:
  • The Referred Customer's account has been approved and activated
  • The Referred Customer has processed the required minimum transaction volume
  • The Referred Customer has maintained an active account in good standing for the specified qualification period
  • Skyline Payments has verified the referral meets all qualification requirements
7.2 Payment Method
Referral rewards will be distributed via:
  • Account credit applied to the Referring Customer's Skyline Payments account
  • Direct payment to the Referring Customer's registered bank account, or
  • Other payment methods as specified by Skyline Payments
7.3 Payment Delays and Investigations
Skyline Payments reserves the right to delay payment of any referral rewards while we investigate:
  • The validity of the referral
  • Compliance with these Terms
  • Potential fraudulent or suspicious activity
  • Any disputed claims or discrepancies
7.4 Tax Reporting
  • Referring Customers who earn $600 or more in referral rewards in a calendar year will receive a Form 1099 and must provide a completed W-9 form to Skyline Payments
  • Failure to provide required tax documentation may result in delayed or withheld payments
  • You are solely responsible for any tax obligations arising from referral rewards
8. LIMITATIONS, RESTRICTIONS, AND PROGRAM RULES
8.1 No Unlimited Referrals Guarantee
While there is no predetermined limit on the number of referrals you may make, Skyline Payments reserves the right to:
  • Limit the number of referrals from any single Referring Customer
  • Suspend or terminate participation for excessive or suspicious referral activity
  • Investigate patterns that suggest fraudulent or abusive behavior
8.2 One Referral Per Person
An individual or business entity can only be referred once and can only be credited to one Referring Customer.
8.3 Marketing and Promotional Restrictions
Referring Customers agree to:
  • Not engage in spam, unsolicited email, or prohibited marketing practices
  • Not use Skyline Payments trademarks, logos, or branding without prior written authorization
  • Not make false, misleading, or unauthorized representations about Skyline Payments services
  • Not offer additional incentives or compensation beyond the official Program rewards
  • Comply with all applicable advertising, marketing, and consumer protection laws
8.4 Statute of Limitations for Untracked Referrals
If a referral was not created through your unique referral link and thus not tracked electronically, the Referred Customer or Referring Customer has 30 days from the date of the Referred Customer's account activation to notify Skyline Payments of the referral event in writing to referrals@skylinepayments.com. After this 30-day period, no retroactive credit will be provided.

9. LIMITATION OF LIABILITY AND SYSTEM MALFUNCTIONS
9.1 No Guarantee of Payment
Notwithstanding any other provision in these Terms, Skyline Payments shall NOT be obligated to pay any referral rewards if:
  • Our tracking system fails to properly record the referral due to technical malfunction
  • There are errors, bugs, or failures in our referral tracking software or systems
  • The referral link was not used correctly or did not function as intended
  • Third-party systems, browsers, or technical issues prevent proper tracking
  • The referral cannot be validated due to missing or incomplete data in our systems
  • Payment processing systems malfunction or fail to distribute rewards
  • We determine, in our sole discretion, that the referral is not a bona fide transaction
  • The Referring Customer or Referred Customer has violated these Terms or any Skyline Payments agreement
9.2 System and Technical Issues
Skyline Payments is not responsible for and shall not be liable for:
  • Technical failures, including but not limited to website downtime, server errors, or system malfunctions
  • Tracking errors or failures to properly attribute referrals
  • Lost, delayed, misdirected, or undelivered referral links or communications
  • Internet connectivity issues, browser compatibility problems, or other technical difficulties
  • Delays in processing or payment of rewards due to technical issues
  • Any damages or losses resulting from participation in the Referral Program
9.3 Force Majeure
Skyline Payments shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, technical failures, or other force majeure events.

10. INVESTIGATION AND FRAUD PREVENTION
10.1 Right to Investigate
Skyline Payments reserves the right to investigate any suspicious, inappropriate, or potentially fraudulent activity relating to the Referral Program, including but not limited to:
  • Reviewing account activity and transaction patterns
  • Requesting additional documentation or verification
  • Conducting interviews with Referring Customers and Referred Customers
  • Analyzing technical data and system logs
  • Coordinating with law enforcement if criminal activity is suspected
10.2 Fraud Consequences
If Skyline Payments determines that a Referring Customer has engaged in fraudulent, deceptive, or abusive behavior, we may:
  • Immediately disqualify all pending and future referrals
  • Revoke any previously paid referral rewards and demand repayment
  • Suspend or terminate the Referring Customer's participation in the Program
  • Suspend or terminate the Referring Customer's Skyline Payments merchant account
  • Pursue legal action and damages
  • Report the activity to appropriate authorities
11. DISPUTE RESOLUTION
11.1 Sole Discretion
All questions, disputes, or issues regarding eligibility for the Referral Program, qualification of referrals, or payment of rewards will be resolved by Skyline Payments in its sole and absolute discretion. Skyline Payments' decisions are final and binding.

11.2 Dispute Process
If you believe there is an error regarding your referral or reward payment, you must notify Skyline Payments in writing within 30 days of the alleged error by emailing referrals@skylinepayments.com with:
  • Your account information
  • Details of the disputed referral or payment
  • Any supporting documentation
  • Your requested resolution
Skyline Payments will investigate and respond within a reasonable timeframe. If you are not satisfied with the resolution, you may escalate the matter as provided in your Skyline Payments Merchant Agreement.

12. PROGRAM CHANGES, SUSPENSION, AND TERMINATION
12.1 Right to Modify
Skyline Payments reserves the right to, at any time and in its sole discretion:
  • Modify, suspend, or terminate the Referral Program in whole or in part
  • Change reward amounts, qualification requirements, or Program structure
  • Modify these Terms
  • Add or remove features or benefits
  • Impose new restrictions or requirements
12.2 Program Termination
Skyline Payments may terminate the Referral Program entirely or for specific Referring Customers at any time for any reason, including but not limited to:
  • Violation of these Terms
  • Fraudulent or suspicious activity
  • Business reasons or strategic decisions
  • Regulatory or legal requirements
  • Excessive costs or abuse of the Program
12.3 Effect of Termination
Upon termination of the Referral Program or a Referring Customer's participation:
  • The Referring Customer must immediately cease use of referral links and Program materials
  • Referral rewards earned but unpaid as of the termination date will remain payable only if the termination was not due to the Referring Customer's breach
  • Referrals in progress at the time of termination may not qualify for rewards
  • Skyline Payments has no obligation to pay rewards for referrals not yet qualified at the time of termination
13. INTELLECTUAL PROPERTY AND BRANDING
Unless specifically authorized in writing by Skyline Payments, you may not use Skyline Payments trademarks, logos, service marks, or branding. All Skyline Payments intellectual property remains the sole and exclusive property of Skyline Payments.

14. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Skyline Payments, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all claims, actions, demands, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to your participation in the Referral Program, your breach of these Terms, your violation of any applicable laws, or your fraudulent, deceptive, or negligent conduct.

15. WARRANTY DISCLAIMERS
THE REFERRAL PROGRAM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SKYLINE PAYMENTS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE PROGRAM, INCLUDING BUT NOT LIMITED TO:
  • WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES THAT THE PROGRAM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES THAT REFERRAL TRACKING WILL BE ACCURATE OR COMPLETE
  • WARRANTIES REGARDING THE AMOUNT OR TIMING OF REFERRAL REWARDS
  • WARRANTIES THAT THE PROGRAM WILL CONTINUE TO BE AVAILABLE
SKYLINE PAYMENTS MAKES NO REPRESENTATIONS OR GUARANTEES REGARDING THE AMOUNT OF REFERRAL REWARDS YOU MAY EARN.

16. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKYLINE PAYMENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
  • Lost profits, revenue, or business opportunities
  • Loss of data or information
  • Cost of procurement of substitute services
  • Damages arising from missed referral opportunities
  • Damages from system malfunctions or tracking errors
  • Damages from delayed or denied reward payments
IN NO EVENT SHALL SKYLINE PAYMENTS' TOTAL CUMULATIVE LIABILITY TO YOU UNDER THESE TERMS OR RELATED TO THE REFERRAL PROGRAM EXCEED THE TOTAL AMOUNT OF REFERRAL REWARDS ACTUALLY PAID TO YOU DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
YOU ACKNOWLEDGE AND AGREE THAT THESE LIMITATIONS OF LIABILITY ARE ESSENTIAL TERMS OF THESE TERMS AND THAT SKYLINE PAYMENTS WOULD NOT OFFER THE REFERRAL PROGRAM WITHOUT THESE LIMITATIONS.

17. GENERAL PROVISIONS
Independent Contractor: You are an independent contractor and nothing in these Terms creates any partnership, joint venture, employment, agency, or franchise relationship between you and Skyline Payments.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of [State], without regard to its conflict of law principles.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Entire Agreement: These Terms, together with the Skyline Payments Merchant Agreement, Privacy Policy, and any other agreements referenced herein, constitute the entire agreement between you and Skyline Payments regarding the Referral Program.

18. ACKNOWLEDGMENT
BY PARTICIPATING IN THE SKYLINE PAYMENTS CUSTOMER REFERRAL PROGRAM, YOU ACKNOWLEDGE THAT:
  • You have read and understood these Terms
  • You agree to be bound by these Terms
  • You understand that Skyline Payments has sole discretion to determine referral eligibility and reward payments
  • You understand that technical issues, system malfunctions, or tracking errors may prevent reward payment without liability to Skyline Payments
  • You understand that Skyline Payments may modify or terminate the Program at any time
  • You understand that fraudulent or abusive activity will result in disqualification and potential legal action
IMPORTANT NOTICE
These Terms contain important limitations on Skyline Payments' liability, including provisions that limit our obligations to pay referral rewards in the event of system malfunctions, tracking errors, or technical issues. Please read these Terms carefully before participating in the Referral Program.
